Terms of use Immo-Connect

Please read these terms of use carefully before using the Immo-Connect application and/or creating a user account.

1. Definitions

ORIS: ORIS NV, with registered office at Kortrijksesteenweg 1005, 9000 Ghent Belgium with company number 0866.381.630.

Immo-Connect: A login system developed by ORIS that allows natural persons to log on to the ORIS applications with a single personal user account. Certain ORIS applications also require the personal user account to be linked to an organization.

ORIS application: An application developed by ORIS whose access and registration is controlled via Immo-Connect. The creation of a personal user account on Immo-Connect in no way implies any rights on the part of the person who created the account or of the Organization(s) to which it has been added to access or use any ORIS application. Access or use of an ORIS application may be subject to certain recognitions.

Organization: 1 or more natural persons added to Immo-Connect as a group.

Employee: Employee and/or independent employee added to an organization by the Manager of an organization. Employees are natural persons who have an Immo-Connect account. An Employee who is not a Manager will need to obtain further rights through the Mandate system before being granted access to an ORIS application.

Mandate system: System in Immo-Connect with which the Manager determines the rights of the Employees with regard to access to an ORIS application and access to the Wallet.

Administrator: The first person to have created an Organization in Immo-Connect (preferably the manager of the organization) or the person subsequently designated as Administrator. The Administrator is authorized to add Employees to an Organization and to set up and manage the Mandate system for an Organization. An Administrator is always an Employee of the Organization.

Wallet: An electronic payment module developed and offered by ORIS, with which certain services or products offered through an ORIS application can be paid for. Each Employee has access to the Wallet of the Organization and can consult the balance and the transactions of the Organization. An Employee can make payments as soon as he has been granted the right by the Administror to use an ORIS application for the Organization.

2. Subject

These terms of use regulate the rights and obligations of the users of Immo-Connect, including the use of the Wallet.

Separate terms of use may apply to each ORIS application.

If one or more provisions of these terms of use are null and void or unenforceable, the remaining provisions shall remain in force.

ORIS may - without being liable for any compensation - block access to Immo-Connect or to an ORIS application if its use does not correspond to the purpose of the application, in the event of infringement of these terms of use or of any legal provision.

ORIS may change the content of these terms of use unilaterally and at any time. If necessary, the user of Immo-Connect will be informed and invited to accept the new terms of use. Use of Immo-Connect in any case implies acceptance of the conditions of use.

3. Registration and Identification

Every person who wants to use Immo-Connect must register by creating a personal user account.

After the creation of a personal user account, it is necessary either to create an Organization in Immo- Connect yourself (if it did not already exist) or to be added to an existing Organization by the Administrator.

4. Organization management and mandate system

An Administrator determines which Employees are added to the Organization. An Administrator can also remove or block an Employee.

Via the Mandate system, an Administrator can determine which rights an Employee has within the Organization, in particular:

ORIS points out that this organizational management and Mandate system is under the sole responsibility of the Administrator(s) of an Organization and requires strict monitoring, with removal, if necessary, by an administrator of previously granted rights to an Employee/Administrator.

5. Wallet

Certain services or products that are offered via an Oris application have to be paid for. Payment in an Oris application must be made via the Wallet and can only take place if there is sufficient balance available on the Wallet. The price of these services or products is determined in the terms of use and/or on the website of the Oris applications concerned.

The Wallet is charged online. The minimum amount for an online charge is 50 EURO.

Deposits on the Wallet must always be made by an organization.

There is no (monthly) usage limit, either at Wallet or Employee level.

The user must take into account that amounts deposited on the Wallet can only be used for the payment of services or products in Oris applications.

A request for a refund can be subject to additional verifications and conditions and can never relate to a part of the balance. An administrative cost of 50 € will be charged for the repayment of the balance of the Wallet.

ORIS keeps a record of the payments made via the Wallet for a period of five years.

For each successful payment with the Wallet, a transaction voucher will be created. Transactions include the upload of the Wallet, as well as the purchased service or product. In addition, for the delivered service or product, an invoice is periodically sent to the Organization.

6. Intellectual Property

ORIS is the exclusive owner of Immo-Connect and of the Wallet, including all intellectual property rights thereto.

In particular, Immo-Connect and the Wallet, including the texts, the structure, the layout, the graphic elements, the presentation, the logos, the software as well as all other elements contained in Immo- Connect and in the Wallet, are protected by the intellectual property rights of ORIS. These intellectual rights include, but are not exhaustive: copyright, neighboring rights, database rights and trademark rights.

The user of Immo-Connect and of the Wallet expressly acknowledges the intellectual property rights of ORIS and will refrain from infringing these intellectual property rights.

7. Privacy

The processing of personal and organizational data is inherent to the functionality of Immo-Connect.

When processing your personal data, ORIS clearly complies with the law, i.e. European Regulation No 2016/679 of 27 April 2016 on data protection (better known as 'GDPR') or any other legislative act amending it. To this end, ORIS has an Immo-Connect 'Privacy Policy' that can always be consulted at www.immo-connect.be.

The processing of personal data is subject to the consent of the person whose data are processed. By accepting these terms of use, the user of Immo-Connect gives consent to the processing of the data.

The personal user account created in Immo-Connect includes (non-exhaustive) the profile, user name, password, e-mail address and a link to one or more organizations of the person who has created this account. These personal data are also processed for the execution of the services provided by Oris pursuant to these terms and conditions of use and to report available updates to the applications.

8. Liability

ORIS cannot be held liable for any malfunctions, interruptions or errors in Immo-Connect, in the Wallet or in Oris applications. Malfunctions, interruptions or errors in the electronic supply can under no circumstances give rise to any financial compensation.

ORIS makes every effort to investigate and repair reported defects as quickly as possible or to issue a workaround for this purpose.

ORIS periodically releases updates that can correct errors or improve the functioning of the application.

ORIS makes every effort to protect the IT infrastructure accessible via Immo-Connect against viruses, hacking-attacks or other IT crimes. Damage to computers or related software caused by the use of Immo-Connect and the software accessible via Immo-Connect cannot be recovered from ORIS. ORIS is not liable for any transfer of viruses via its applications.

ORIS shall not be liable for the fraudulent use of its means of dissemination. ORIS disclaims any and all liability in respect of any intrusion into its computer systems and the copying of data that may result therefrom. However, ORIS shall use all useful means to prevent unauthorized intrusion.

ORIS shall in no way be liable for:

The provision of connections ("links") with other websites

The content of other websites

The consequences of actions based on the content of other websites

In the event of force majeure, the fulfilment by the party concerned of the obligations arising from these Terms of Use shall be suspended in whole or in part for the duration of such force majeure, without either party being liable to pay any compensation in the matter.

The total liability of ORIS for direct damage due to an attributable serious or minor failure shall be limited to compensation of a maximum amount of € 2,500 (two thousand five hundred euros).

The liability of ORIS for indirect damage due to an attributable serious or minor shortcoming is expressly excluded, as well as the liability of ORIS due to damage, destruction or loss of data or documents.

Direct damage" means the amounts paid to ORIS for the execution of this contract. Indirect damage" means, without this list being exhaustive, any form of consequential damage, loss of profit, financial or commercial losses, missed savings and/or automation, increase in general costs and/or personnel costs, reduced goodwill, damage due to business stagnation, damage due to disruption of planning and loss of customers, loss of an opportunity.

9. Cookies

ORIS uses cookies to manage its websites, applications and e-mail programs. Oris does not use cookies to collect or store personal information. Cookies are used to store non-personal information to manage the display of the website, such as the user's type of web browser. A cookie can also store preferred settings, such as preferred language, to adjust the website view accordingly.

10.Applicable law and competent court

These terms and conditions of use are governed by Belgian law. All disputes to which they may give rise shall fall within the exclusive jurisdiction of the courts of the judicial district of Ghent, Ghent section.

11.Support and helpdesk

ORIS assists users of Immo-Connect by e-mail every working day (from Monday to Friday) from 09:00 to 12:30 and from 13:30 to 17:00 to the e-mail address support@immo-connect.be, as well as by telephone on +32 (0)9 243 10 20. There is one week closure between Christmas and New Year and one week closure in July. The helpdesk is also unavailable during festive, bridging and collective closure days as well as during the annual real estate congress day.

12.Payment conditions

All ORIS invoices are payable 30 days after the invoice date, with the exception of the provisions above concerning the services or products paid via Wallet in the Oris applications. Any invoice that remains unpaid on its due date shall automatically and without notice incur default interest of 8% on the amount due. It will be increased with a fixed compensation of 10% on the balance with a minimum of 25 EUR, per invoice.
